وتُعد هذه الصفقة محطة بارزة في تطور أسواق رأس المال الرقمية في المنطقة، إذ تمثل طرح أوراق مالية مُرمَّزة يتطلب نشرة إصدار تمت الموافقة عليها من قبل الهيئة الناظمة للخدمات المالية  (FSRA)  في سوق أبو ظبي العالمي.

وقد أُصدرت الأوراق المالية المُرمَّزة، المعروفة باسم “bStocks” والمهيكلة على شكل  Certificates،  من قبل الشركة التابعة لمجموعةBinance ، BTECH Holdings Limited، وأُتيحت للتداول على منصة تداول العملات المشفرة التابعة لـ Binance في سوق أبو ظبي العالمي. وتمثل هذه الشهادات حقوقاً انتفاعية في أسهم شركة SpaceX الأساسية، بما يتيح للمستثمرين فرصة التعرض لإحدى أبرز شركات التكنولوجيا في العالم من خلال هيكل قائم على تقنية بلوكتشين.  

ويرتبط هذا الطرح التاريخي ارتباطاً وثيقاً بالاكتتاب العام الأولي (IPO) الناجح لشركة SpaceX، والذي يُعد الأكبر في التاريخ، واختُتم في 11 يونيو 2026. فيما أُطلق الطرح رسمياً في 12 يونيو 2026.

وتصنف الهيئة الناظمة للخدمات المالية  هذه الشهادات على أنها Securities، وقد أُصدرت بصفتها Ledger-Based Securities  على شبكة BNB Chain blockchain.  وتتمتع كل شهادة بتغطية كاملة بالأصول، حيث يقابل كل رمز مُصدر سهم واحد من أسهم SpaceX محفوظ في حساب حفظ منفصل تابع لـ BTECH بنسبة 1:1، بما يضمن الشفافية وحماية المستثمرين ضمن إطار تنظيمي معتمد.

وقدمت Al Tamimi & Company المشورة بشأن إعداد نشرة الإصدار للحصول على موافقة  FSRA، كما ساعدت في تقديم طلب إدراج الشهادات في  اللائحة الرسمية التابعة لـ FSRA، إضافة إلى إدراجها للتداول في كل من  Recognised  Investment Exchange  وMultilateral Trading Facility اللتين تديرهما Nest Exchange Limited داخل  سوق أبو ظبي العالمي.

DUBAI, United Arab Emirates, June 29, 2026 (GLOBE NEWSWIRE) — Al Tamimi & Company is proud to have advised Binance on a groundbreaking digital assets transaction involving the offer of tokenized securities in the Abu Dhabi Global Market (ADGM) through a Binance group affiliate.

The transaction marks a significant milestone in the evolution of digital capital markets in the region, representing the offering of tokenized securities requiring a prospectus approved by the Financial Services Regulatory Authority (FSRA) in ADGM.

The tokenized securities, known as “bStocks” and structured as Certificates, were issued by a Binance group affiliate, BTECH Holdings Limited, and made available on Binance’s crypto exchange in ADGM. The Certificates represent beneficial interests in underlying equity securities in SpaceX, offering investors exposure to one of the world’s most prominent technology companies through a blockchain-enabled structure.

This landmark offering was closely linked to the successful IPO of SpaceX, the largest IPO in history, which closed on 11 June 2026. The offering officially launched on 12 June 2026.

The Certificates are classified as Securities by the FSRA and are issued as Ledger-Based Securities on the BNB Chain blockchain. Each Certificate is fully asset-backed, with every issued token supported on a 1:1 basis by corresponding SpaceX shares held in BTECH’s segregated custody account, ensuring transparency and investor protection within a regulated framework.

Al Tamimi & Company advised on the preparation of the prospectus for FSRA approval and assisted with the application for admission of the Certificates to the Official List of the FSRA, as well as admission to trading on both the Recognised Investment Exchange and the Multilateral Trading Facility operated by Nest Exchange Limited within ADGM.

Al Tamimi & Company Advises SALAMA on AED 155 Million Mandatory Convertible Sukuk to Strengthen Solvency Position

DUBAI, United Arab Emirates, May 18, 2026 (GLOBE NEWSWIRE) — Al Tamimi & Company, the leading full-service law firm in the MENA region, has advised Islamic Arab Insurance Company (PJSC) (“SALAMA”) on a strategic capital optimization transaction involving the private issuance of AED 155 million in Sharia-compliant Mandatory Convertible Sukuks (“MCS”).

The transaction combines a capital reduction followed by the issuance of MCS through a special purpose vehicle, and an ultimate capital increase simultaneously with the conversion of MCS into shares. The MCS were privately subscribed by professional investors. The transaction was designed to strengthen SALAMA’s solvency position and support its long-term financial stability.

The sukuk structure, developed in accordance with AAOIFI standards and certified by an external Sharia advisor, features a mandatory conversion mechanism enabling Salama to immediately convert and exchange the MCS into equity following issuance. The transaction was executed under the UAE’s private offering framework and included related party participation, requiring enhanced governance and shareholder approvals. All applicable regulatory approvals were also obtained in relation to the capital optimization transaction.
