Downward Spiral of Bangladesh Politics and EconomyWho Should be Blamed ?

ROME, Dec 22 2025 – Bangladesh in recent years started drawing global attention for its success in emerging out of poverty through economic growth and agricultural development. From early 2000 until 2023, while population growth continued to decline from 1.2 in 2013 to 1.03 in 2023, this growth has been the powerful driver of poverty reduction since 2000. Indeed, agriculture accounted for 90 percent of the reduction in poverty between 2005 and 2010 (World Bank).

Despite frequent natural disasters and population growth, food grain production tripled between 1972 and 2014, from 9.8 to 34.4 million tons. As a result, the country became almost self-sufficient in basic food and, net overseas foreign aid (ODA), as a percentage of GNI fell from 8 in 1977 to less than 1 in 2023 (World Bank).

Along with agricultural development, buoyed by booming export, (led by the garment sector) and remittances, foreign reserves went past $30 billion.

With resources in hand and confidence to move forward the country launched mega infrastructure projects, such as huge bridges, deep sea port, urban metro transit, highways and modernization of airports; mega power projects including a nuclear power plant.

And then came the ‘deluge’ of corruption and the ‘rot’ of the basic moral fabric of the government, led by Sheikh Hasina, the daughter of the “Father of the Nation” and head of the Awami League (AL), the party that brought us independence. While the AL led government publicly started publicizing its achievements and successes, it was simultaneously systematically looting the country through corrupt practices, crony capitalism and outright theft through the banking system by forcefully appointing their henchmen onto the board of directors. Sheikh Hasina’s government further alienated the youth ‘by limiting access to government jobs to the supporters of her party by implementing a quota system.

Consequently, the students rebelled and overthrew her government and installed an Interim government with Nobel Laureate Professor Mohammed Yunus at its head. Everyone heaved a sigh of relief and hoped for a better future for the country guided by the most distinguished Nobel laureate, son of the soil.

Prof. Yunus found a country politically broken, financially drained without foreign currency reserve and a banking sector with empty coffers due to politically motivated loans to the AL leaders and their cronies without any hope of ever recovering them.

Prof. Yunus brought in several advisers to run the administration and focused on (a) stabilizing the financial sector ; and (b) reforming the institutions and the constitutions, assuming that weak institutions and the existing constitution enabled the AL government to loot the country dry.

He appointed very competent, well known and experienced economists at the head of the central Bank and the Ministry of Finance and they very successfully stabilized the financial market.

However, his attempts to reform, as well as his lackluster performance as a leader to guide the country and the reform process are pushing the country further into turmoil and towards a downward spiral. The hope that a Nobel laureate will save the country is turning into a nightmare!

Personal leadership of the Interim Government ?

Though widely respected, as a leader of the Interim government Prof. Yunus has given no indication of what he stands for. The civil society and the general public are totally confused by his failure to stand up for basic mainstream Bengali values, including women’s right and freedom, organization of cultural and musical events, support for the minorities and ethnic communities. His administration did not support the “Women’s Commission Report” without ever giving any adequate justification.

None can really explain why he failed to stand up in public and as the head of the government for the basic values he fought for as a leader of Grameen bank and cherishes in private. May be one day his memoirs will explain that.

The Interim government also failed to address education and research. It allocated Tk 95,645 crore (approx. $900+ million USD) for education in FY2025-26, representing about 11% of the total budget and 1.69 % of GDP, well below UNESCO recommendations (4-6% GDP). It is one of the lowest in the history of the country. The whole country was expecting eagerly that he, being a professor and a Nobel laureate, would start reversing the trend of low allocation for education. Instead he lowered it even further than before.

In addition, the business community is exasperated by lack of participation in the interim government and its failure to address closure of factories of politically tainted people affecting export and increasing unemployment. There was also inadequate consultation before ratifying the ILO conventions on labour rights under international pressure.

Flawed reform and governance conundrum ?

While the interim Government is committing most of its time discussing reforms of the institutions and the constitution, hardly a day goes by without some report of illicit land grabbing, police harassment of ordinary people, bribery and extortion in every government office, streets and local markets and transport hubs. There are wide spread arsons and killings. The security and law and order situation in the country is worse than ever before.

Reform before governance’ emphasizes making systemic improvements (like updating laws, processes, structures) before fully implementing the laws and rules to ensure that the foundation is sound, fair, and efficient.

However, interim government’s decision to prioritize was not based on any analysis demonstrating that there were flaws in the constitution, or in the judiciary etc. that allowed the last government to rob the country. Besides, the agitation that drove Sheikh Hasina’s government from power was motivated by lack of access to jobs, corruption and extortion, land grabbing, police brutality and political oppression. All these issues are related to governance. Reform was not on their agenda.

Prof. Yunus and his interim government are to be commended for their good intentions in seeking to carry out reforms that would forestall a return to the bad old days of the last government that looted the country. But they should have understood that reform may have been necessary but not sufficient.

Poor governance and lack of capacity to govern by the established institutions of Bangladesh and its bureaucracy is clear to the entire nation and the international community. Just look at any public institutions (from the airport to embassies, union parishad to district administration, telecom and power) the situation is blatantly visible to all. No one can get anything done without going through harassment, hustles, often paying a bribe or showing authority or power. People want relief from such miserable governance and administration and not Reform.

Fixing of the financial sector was indeed one of Prof Yunus’s government’s big achievement. However, though people feared that the financial and the political crisis would derail agricultural growth and then the rest of the economy along with it, fortunately that did not happen. Overall agricultural growth of the country kept its pace and total food grain production did not decline. Overall growth of value added in agriculture remained at more than 3 percent (Bureau of Statistics, Bangladesh).

Continued and sustained agricultural growth provided the life line to industries and the garment sector in particular to withstand the financial crisis. Overall, Bangladesh’s total exports expanded 24.9 % YoY in Nov 2024, compared with an increase of 25.7 % YoY in the previous month. Garment exports surged 12% in first 7 months of FY24–25, (Export Promotion Bureau of Bangladesh).

Likewise fixing the financial sector did not fix the economy. Even with a stronger financial sector, poor governance and inadequate attention to the business community have affected the real economy. Poverty is on the rise, export and agricultural productivity are declining. The country is now staring at downhill spiral both economically and politically.

Consequences of the failures of the Interim Government to Govern ?

The most significant consequence is that by offering no alternative to better governance than the regime that was over thrown, the people are likely to turn towards the Islamic parties, which are, as of now not tainted by corruption in power and poor governance. There is a high probability that they may win. People are tending to believe that the Islamic parties will provide better governance and will be less corrupt.

The only factor that may not bring them to power is the fear that some of their values related to women and culture do not correspond to mainstream Bengali values.

The main stream opposition party, Bangladesh National Party (BNP) is also hoping to win big as they see no clear opponent. This party, however, is also accused of committing crimes, extortion and corruption when it was in power. The founder of BNP is linked to the cruel murder of Sheikh Mujib and the members of his family, and the current leader of BNP is accused of masterminding the grenade attack aimed at killing Sheikh Hasina at an AL rally on 21st August 2004. Hasina survived the attack, but it killed 24 people and injured about 200. Though acquitted, under the Interim Government, the accusations and BNP’s corruption and extortion by its cadres are lingering in public minds.

In spite of these short comings and the relative strength of the Islamic parties, the BNP is very optimistic of winning. They believe that the minorities, the large section of the freedom fighters, the left leaning parties and the secular urban women will never vote for the Islamist parties, come what may. However, given the current volatile political climate anything is possible.

In a sense the interim Government of Prof. Yunus is making it inevitable for the people to choose between: “good governance” vs. “upholding socio cultural Bengali values”. Which one will win is yet to be seen. The future of the country now critically hinges on the forthcoming election in February 2026 and the kind of leadership it will produce. Either way the people will be the losers – either they will get BNP, a corrupt party very similar to the ousted party AL with a history of bad governance or the Islamists which may turn out to be a threat to main stream Bengali values.

Central Asia–Japan Leaders’ Summit in Tokyo Backs Trans-Caspian Corridor; Tokayev Warns Nuclear Risks Are Rising

TOKYO, Japan, Dec 22 2025 – Leaders of Japan and the five Central Asian states met in Tokyo on Dec. 20 and adopted the “Tokyo Declaration,” launching a new leaders-level format under the “Central Asia plus Japan Dialogue” (CA+JAD). The declaration places at the core of cooperation two priorities: strengthening supply-chain resilience for critical minerals, and supporting the Trans-Caspian Corridor (the Trans-Caspian International Transport Route), which links Central Asia with Europe without transiting Russia.

Chaired by Prime Minister Sanae Takaichi, the meeting reflected Central Asia’s strategic importance as a Eurasian crossroads and as a region with mineral resources essential to decarbonization and advanced industries. As major powers step up engagement across the region, Central Asia’s weight as a stage for diplomacy and trade has been growing.

The Japanese government emphasized a practical, implementation-oriented approach—translating cooperation into deliverable projects. For Central Asian countries, the Trans-Caspian Corridor is also a means to expand transport options and reduce dependence on any single transit route. It can help attract investment for modernizing ports, railways and customs systems, while increasing opportunities to capture transit and logistics revenues.

For Japan, corridor development and cooperation on minerals serve as a form of risk diversification in economic security. By diversifying both procurement sources and transport routes for critical minerals—such as rare earths and lithium—needed for batteries, renewable energy technologies and electronic devices, Japan aims to prepare for heightened geopolitical risk. There is also a clear intent to expand opportunities for Japanese companies to participate in infrastructure, logistics and digital sectors.

Japan–Kazakhstan Joint Statement as the Anchor

Ahead of the leaders’ summit, Kazakhstan’s President Kassym-Jomart Tokayev paid an official visit to Japan, with a series of diplomatic engagements scheduled around the trip.

On Dec. 18, Prime Minister Takaichi and President Tokayev held a summit meeting and issued a joint statement on a “future-oriented expanded strategic partnership.” The statement reaffirmed a rules-based international order grounded in the principles of the U.N. Charter, and the two leaders agreed to advance cooperation through concrete initiatives in areas including critical minerals, the energy transition, and transport and logistics connectivity.

On the Trans-Caspian Corridor, the joint statement specified practical measures aimed at easing customs and port bottlenecks—such as training for customs officials in cooperation with the World Customs Organization (WCO) and support for improving cargo inspection scanners (cargo inspection equipment) at Aktau Port in western Kazakhstan. The two leaders also welcomed plans to launch regular direct flights in 2026 and agreed to begin intergovernmental negotiations toward the conclusion of a bilateral air services agreement. In addition, the joint statement expressed an intent to exchange information and explore potential avenues of cooperation with the “UN Regional Centre for the SDGs for Central Asia and Afghanistan”, which was established in Almaty.

Tokayev Warns of Nuclear Risks in Tokyo

On the following day, Dec. 19, President Tokayev delivered a lecture at the United Nations University in Tokyo, warning that “nuclear risks are rising again.”

He referred not only to the atomic bombings of Hiroshima and Nagasaki but also to Kazakhstan’s Semipalatinsk nuclear test site, where the former Soviet Union conducted more than 450 nuclear tests, arguing that both Japan and Kazakhstan are countries that know the devastating consequences wrought by nuclear weapons. He said practical steps must be steadily accumulated to advance nuclear disarmament and reduce nuclear risks.

Tokayev also cited Kazakhstan’s decision to relinquish the nuclear weapons left on its territory after the Soviet collapse, suggesting that security should not depend solely on nuclear deterrence.

Kazakhstan has, around Aug. 29—the date the Semipalatinsk test site was closed and also the U.N.-designated International Day against Nuclear Tests—hosted meetings in Astana that foreground the inhumane impacts of nuclear weapons and call for strengthening norms underpinning the Central Asian Nuclear-Weapon-Free Zone. These gatherings have included participation by civil society groups such as the International Campaign to Abolish Nuclear Weapons (ICAN) and Soka Gakkai International (SGI).

Three Priority Areas: Resilience, Connectivity, Human Development

At the Dec. 20 summit, President Tokayev attended alongside the presidents of Kyrgyzstan, Uzbekistan, Tajikistan and Turkmenistan. Prime Minister Takaichi noted that Central Asia’s growing population and rapid economic expansion have raised the region’s international profile, and stressed the importance of regional cooperation and engagement with external partners.

Japan announced the “CA+JAD Tokyo Initiative,” setting out three priority areas for cooperation: (1) green and resilience (including the energy transition, disaster risk reduction and supply-chain resilience for critical minerals); (2) connectivity (including the Trans-Caspian Corridor and A.I. cooperation); and (3) human development (including scholarship programs and cooperation in health and medical fields).

The Tokyo Declaration also explicitly set out the launch of the “Japan–Central Asia Partnership for AI Cooperation,” with a view to applying A.I. to resource development and related areas. More than 150 documents were signed and announced by public and private stakeholders on the margins of the meeting, and a goal was presented to develop business projects totaling 3 trillion yen over the next five years.

Multipolar Engagement and Kazakhstan’s “Multi-Vector” Diplomacy

The Tokyo gathering also underscored the reality of accelerating summit diplomacy around Central Asia. China convened a leaders’ meeting with the five Central Asian states in Kazakhstan earlier this year, and the United States invited the same five leaders to Washington in November.

Kazakhstan, in particular, has long pursued a “multi-vector” foreign policy—cultivating relations in parallel with competing major powers to preserve sovereignty and strategic options. The Tokyo agreements—combining diversification of transport corridors, expanded cooperation on minerals and technology, and the use of development cooperation through international institutions—align with this balancing strategy.

For Japan, the new leaders-level format provides a means to deepen engagement with Central Asia by connecting resources, logistics and technology. For President Tokayev, the visit also served as a platform to argue that, as nuclear risks re-emerge at the forefront, Eurasia’s economic future cannot be separated from the security challenges that shape it.

Nyxoah Announces Issuance of First Tranche of Convertible Bonds

Mont–Saint–Guibert, Belgium – December 19, 2025, 10:05pm CET / 4:05pm ET – Nyxoah SA (Euronext Brussels/Nasdaq: NYXH) (“Nyxoah” or the “Company”), a medical technology company focused on the development and commercialization of innovative solutions to treat Obstructive Sleep Apnea (OSA) through neuromodulation, today announced the issuance of the first tranche of the convertible bond financing entered into with an entity managed by Heights Capital Management (“HCM”) of up to €45 million, as previously announced by the Company on November 13, 2025.

Closing of the first tranche of the convertible bonds’ issuance

On December 18, 2025, the Company issued the first tranche of convertible bonds for a nominal amount of €22.5 million under the subscription agreement entered into with HCM on November 13, 2025, as amended and restated on December 16, 2025. The first tranche consisted of the issuance of 225 convertible bonds (the “First Tranche Bonds”) with a nominal amount of €100,000 each, which were fully subscribed to and paid–up by HCM. Pursuant to the subscription agreement, the Company has paid a subscription fee to HCM equal to 8.0 per cent of the principal amount of the First Tranche Bonds (i.e., €1.8 million), which has been satisfied by set–off against the respective portion of the subscription price of the First Tranche Bonds due by HCM.

The First Tranche Bonds carry an interest rate of 6.5 per cent per annum and have a three–year maturity from issuance with quarterly amortization payments (each a “Scheduled Amortisation Payment Date”) of principal (equal to an amount of €8.500 per First Tranche Bond, except for the final amortization payment which will be equal to €6.500 per First Tranche Bond, each an “Amortised Payment Amount”) and interest. The first Scheduled Amortisation Payment Date will be on February 18, 2026.

In addition to the scheduled amortisation payments, HCM (or any future holders of the majority of the First Tranche Bonds) may, at any time between two Scheduled Amortisation Payment Dates (a “Regular Amortisation Period”), exercise its right to bring forward the payment of up to two Amortised Payment Amounts to a date specified in a notice sent to the Company which shall not be earlier than three business days following the date on which the relevant notice is given. Additionally, HCM (or any future holders of the majority of the First Tranche Bonds) will also have the right to defer the payment of any upcoming Amortised Payment Amount to any subsequent Scheduled Amortisation Payment Date specified in the notice sent to the Company.

HCM may elect to convert the outstanding principal amount under the First Tranche Bonds or any Amortized Payment Amount at any time during the term of the bonds. The initial conversion price for the First Tranche Bonds, which can be modified on a downward basis, shall be equal to €5.00, which represents 125 per cent of the placement price of the shares that have been issued pursuant to the previously announced private placement and registered direct offering (the “Capital Increases”).

Each payment of the Amortised Payment Amounts shall in principle be done in cash at an amount equal to 103 per cent of the principal amount of such Amortised Payment Amount. However, the Company may elect to satisfy its obligation to repay the relevant Amortised Payment Amount by issuing new ordinary shares in the Company to HCM (the “Share Settlement Option”). In case the Company exercises its Share Settlement Option, the issue price for the newly to be issued ordinary shares will be the lower of (a) the conversion price in effect at the time, and (b) 90% of the lower of (i) the VWAP of an ordinary share on the relevant Scheduled Amortisation Payment Date, and (ii) the lowest of the VWAPs of an ordinary share on each of the five consecutive dealing days ending on (and including) such Scheduled Amortisation Payment Date.

Second tranche convertible bonds

Pursuant to the subscription agreement, the Company has the option to issue a second tranche of convertible bonds (the “Second Tranche Bonds”) to HCM for an aggregate principal amount of up to €22.5 million if so requested by the Company in the period between July 18, 2026 and August 18, 2026.

The Company and HCM can agree in writing to a lesser aggregate principal amount than €22.5 million for the Second Tranche Bonds issuance.

The obligation for HCM to subscribe to the Second Tranche Bonds on the closing date for the Second Tranche Bonds (the “Second Tranche Closing Date”) shall be subject to certain customary conditions precedent being satisfied (or waived by HCM) prior to or on the Second Tranche Closing Date. More specifically, it is, among others, required that:

  • the arithmetic mean (rounded to the nearest whole multiple of U.S.$1.00 (with U.S.$0.50 being rounded upwards)) of the daily traded values of the ordinary shares of the Company on each dealing day comprised in the period of sixty qualifying stock exchange days ending on the qualifying stock exchange date immediately preceding the date of the Company’s request to issue the Second Tranche Bonds is greater than U.S.$1 million (or its equivalent in any other currency); and
  • the Company has a last market capitalisation immediately preceding the Second Tranche Closing Date, and an average market capitalisation on each of the 30 consecutive dealing days ending on (and including) the dealing day immediately preceding the Second Tranche Closing Date that are each greater than €240,000,000.

As of December 16, 2025, the conditions precedent relating to the daily traded values, the last market capitalisation and the average market capitalisation were not met. More precisely, as of December 16, 2025, the arithmetic mean of the daily traded values amounted to U.S.$ 772,176, the last market capitalisation amounted to €177,053,883 and the 30–day average market capitalisation amounted to €175,959,735.

The Second Tranche Bonds shall, to the extent applicable, be issued on substantially the same terms as the First Tranche Bonds. The initial conversion price of the Second Tranche Bonds shall be equal to the lowest of the five VWAPs of the ordinary shares of the Company on Euronext Brussels on each of the five dealing days ending on the Second Tranche Closing Date.

Cash runway

The issuance of the First Tranche Bonds and closing of the Capital Increases, together with the second tranche under the Company’s existing credit facility with the European Investment Bank (for which the possibility to draw depends on a revenue milestone that the Company expects to meet in the first half of 2026), will extend the Company’s cash runway into the third quarter of 2026. If, in addition to the foregoing, the Second Tranche Bonds are issued, the Company’s cash runway will be extended by two (2) quarters, into the first quarter of 2027.

The net proceeds from the First Tranche Bonds together with the net proceeds of the Capital Increases will be used (i) to support commercialization activities in the United States and advance the commercialization of the Genio system in the Company’s initial target markets outside the United States; (ii) to continue gathering clinical data and to support physician–initiated clinical research projects related to OSA patient treatments; (iii) to further finance research and development activities related to Genio system upgrades, re–designing the Company’s products for manufacturability and cost reduction initiatives; (iv) to continue to build a pipeline of new technologies and explore potential collaboration opportunities in the field of monitoring and diagnostics for OSA; and (v) for other general corporate purposes, including, but not limited to, working capital, capital expenditures, investments, acquisitions, should the Company choose to pursue any, and collaborations.

Mont–Saint–Guibert, Belgique – 19 décembre 2025, 10:05p.m. CET / 4:05p.m. ET – Nyxoah SA (Euronext Brussels/Nasdaq : NYXH)Nyxoah » ou la « Société »), une société de technologie médicale spécialisée dans le développement et la commercialisation de solutions innovantes pour le traitement de l'Apnée Obstructive du Sommeil (AOS) par neuromodulation, a annoncé aujourd'hui l’émission de la première tranche du financement par obligations convertibles conclu avec une entité gérée par Heights Capital Management (« HCM ») jusqu’à €45 millions, comme annoncé précédemment par la Société le 13 novembre 2025.

Clôture de la première tranche de l’émission des obligations convertibles

Le 18 décembre 2025, la Société a émis la première tranche des obligations convertibles pour un montant nominale de €22.5 millions sous le contrat de souscription conclu avec HCM le 13 novembre 2025, tel que modifié le 16 décembre 2025. La première tranche consiste en l’émission de 225 obligations convertibles (les « Obligations de la Première Tranche ») avec une valeur nominale de €100,000 chacune, qui ont été entièrement souscrites et libérées par HCM. Conformément au contrat de souscription, la Société a payé des frais de souscription à HCM pour un montant total égal à 8% du montant initial des Obligations de la Première Tranche (i.e., €1.8 million), qui ont fait l’objet d’une compensation avec la partie correspondante du prix de souscription des Obligations de la Première Tranche dues par HCM.

Les Obligations de la Première Tranche portent intérêt au taux annuel de 6,5 % et ont une échéance de trois ans à compter de leur émission avec des remboursements trimestriels (chacune étant une « Date de Paiement d’Amortissement Prévue ») du montant initial (égal à un montant de €8.500 par Obligation de la Première Tranche, à l’exception du remboursement final qui sera égal à €6.500 par Obligation de la Première Tranche, chacun étant un « Montant de Paiement Amorti ») et de l’intérêt. La première Date de Paiement d’Amortissement Prévue sera le 18 février 2026.

Outre les remboursements prévus, HCM (ou tout futur détenteur de la majorité des Obligations de la Première Tranche) peut, à tout moment entre deux Dates de Paiement d'Amortissement Prévues (une « Période d'Amortissement Régulière »), exercer son droit d'avancer le paiement d'un maximum de deux Montants de Paiement Amortis à une date précisée dans un avis envoyé à la Société, qui ne peut être antérieure au troisième jour ouvrable suivant la date à laquelle l'avis pertinent est donné. En outre, HCM (ou tout futur détenteur de la majorité des Obligations de la Première Tranche) aura également le droit de reporter le paiement de tout Montant de Paiement Amorti à venir à toute Date de Paiement d'Amortissement Prévue ultérieure spécifiée dans l'avis envoyé à la Société.

HCM peut choisir de convertir le montant principal impayé des Obligations de Première Tranche ou chaque Montant de Paiement Amorti à tout moment pendant la durée des obligations. Le prix de conversion par défaut pour les Obligations de la Première Tranche, qui peut être modifié à la baisse, sera égal à €5.00, ce qui représente 125 % du prix de placement des actions émises dans le cadre du placement privé et de l’offre directe enregistrée annoncés précédemment (les « Augmentations de Capital »).

Chaque paiement des Montants de Paiement Amortis doit en principe être effectué en espèces pour un montant égal à 103 pour cent du montant initial d’un tel Montant de Paiement Amorti. Cependant, la Société peut choisir de satisfaire son obligation de payer le Montant de Paiement Amorti pertinent par l’émission de nouvelles actions ordinaires de la Société à HCM (l’ « Option de Règlement en Actions »). Au cas où la Société exerce son Option de Règlement en Actions, le prix d’émission des actions nouvelles ordinaires à émettre sera le plus bas des deux montants suivants: (a) le prix de conversion alors en vigueur et (b) 90 % du (i) prix moyen pondéré en fonction du volume d’une action ordinaire à la Date du Paiement d’Amortissement Prévue pertinente, et (ii) le plus bas des cinq prix moyens pondérés en fonction du volume d’une action ordinaire sur chacun des cinq jours de négociation consécutifs se terminant à (et incluant) cette Date du Paiement d’Amortissement Prévue.

Deuxième tranche des obligations convertibles

Conformément au contrat de souscription, la Société a l’option d’émettre une deuxième tranche des obligations convertibles (les « Obligations de la Deuxième Tranche ») à HCM pour un montant total maximal de €22.5 millions si demandé par la Société pendant la période entre le 18 juillet 2026 et le 18 août 2026.

La Société et HCM peuvent convenir par écrit d’un montant total inférieur à €22.5 millions pour les Obligations de la Deuxième Tranche.

L’obligation de HCM de souscrire aux Obligations de la Deuxième Tranche à la date de clôture des Obligations de la Deuxième Tranche (la « Date de Clôture de la Deuxième Tranche ») est soumise à certaines conditions préalables habituelles étant satisfaites (ou renoncé par HCM) avant ou à la Date de Clôture de la Deuxième Tranche. Plus précisément, il faut que, en outre:

        1. la moyenne arithmétique (arrondie au multiple entier le plus proche de U.S.$1.00 (U.S.$0.50 étant arrondi à la hausse)) des valeurs quotidiennes négociées des actions ordinaires de la Société pour chaque jour de bourse admissible compris dans la période de 60 jours de bourse admissibles consécutifs se terminant le jour de bourse admissible précédant immédiatement la date de l’avis de la Société d’émettre les Obligations de la Deuxième Tranche soit supérieure à U.S.$1 million (ou son équivalent dans toute autre devise); et
        1. la Société ait une dernière capitalisation boursière immédiatement avant la Date de Clôture de la Deuxième Tranche, et une capitalisation boursière moyenne sur chacun des 30 jours de négociation consécutifs terminant le jour de négociation immédiatement avant la Date de Clôture de la Deuxième Tranche (inclus), qui sont chacune supérieure à 240.000.000 €.

Au 16 décembre 2025, les conditions préalables relatives aux valeurs quotidiennes négociées, à la dernière capitalisation boursière et à la capitalisation boursière moyenne n’étaient pas remplies. Trésorerie

L’émission d’Obligations de la Première Tranche et la clôture des Augmentations de Capital ainsi que la deuxième tranche au titre de la facilité de crédit existante de la Société auprès de la Banque européenne d’investissement (dont la possibilité de tirage dépend d’un objectif de chiffre d’affaires que la Société prévoit d’atteindre au cours du premier semestre 2026), prolongeront la trésorerie de la Société jusqu’au troisième trimestre 2026. Si, en plus de ce qui précède, la Deuxième Tranche d’Obligations est émise, cela prolongerait la trésorerie disponible de la Société de deux trimestres, jusqu’au premier trimestre 2027.

Die inselweiten Sonderzollmaßnahmen im Freihandelshafen Hainan (FTP) im Süden Chinas wurden am Donnerstag offiziell eingeführt. CGTN veröffentlichte einen Artikel, in dem hervorgehoben wurde, wie die bevorzugten Maßnahmen des Hafens die Unternehmensinvestitionen weiter ankurbeln, den grenzüberschreitenden Waren– und Produktionsfaktorenfluss erleichtern und Hainan als wichtigen Knotenpunkt zwischen dem heimischen und dem internationalen Markt positionieren werden. 

PEKING, Dec. 19, 2025 (GLOBE NEWSWIRE) — China hat am Donnerstag im südchinesischen Freihandelshafen Hainan (FTP), dem flächenmäßig größten FTP der Welt, eine inselweite Sonderzollregelung eingeführt, die eine freiere Einfuhr von Waren aus Übersee ermöglicht, den Zollfreiheitsbereich erweitert und weitere wirtschaftsfreundliche Maßnahmen vorsieht.

Anfang November hörte der chinesische Präsident Xi Jinping einen Arbeitsbericht über den FTP und lobte die besonderen Zollmaßnahmen als einen Meilenstein für die Ausweitung einer hochwertigen Öffnung und die Förderung einer offenen Weltwirtschaft. Er forderte Anstrengungen, um den grenzüberschreitenden Fluss von Produktionsfaktoren zu erleichtern und ein erstklassiges Geschäftsumfeld zu schaffen.

Die Idee zur Gründung des FTP wurde erstmals im Jahr 2018 vorgeschlagen. Seitdem wurden mehrere Präferenzmaßnahmen – darunter zollfreies Einkaufen und niedrige Körperschaftssteuern – eingeführt, um den wirtschaftsfreundlichen FTP schrittweise zu verwirklichen.

Ab Donnerstag wird der Anteil der zollfreien Produkte im Freihandelsgebiet Hainan von 21 Prozent auf 74 Prozent steigen, wobei die Anzahl der zollfreien Artikel von etwa 1.900 auf 6.637 erweitert wird und nahezu alle Produktionsanlagen und Rohstoffe umfasst.

Lan Zhenzhen, Präsidentin für öffentliche Angelegenheiten bei L'Oréal Nordasien und China, ist hinsichtlich des Wachstums des Unternehmens nach der Markteinführung am Donnerstag zuversichtlich.

„Als Chinas größte Freihandelszone beherbergt Hainan FTP den weltweit größten Duty–Free–Shop und ist ein bedeutendes globales Einkaufsziel“, erklärte Lan. „L'Oréal wird auch in Zukunft in Hainan investieren, um den globalen Verbrauchern einen noch besseren Service bieten zu können.“

Der thailändische Mischkonzern Charoen Pokphand (CP) Group ist ebenfalls bestrebt, die Chancen für eine weitere Expansion zu nutzen.

Xue Zengyi, ein chinesischer Geschäftsführer der CP Group, erklärte, dass das Kaffeegeschäft der Gruppe von der Nullzollpolitik des FTP für Roh– und Hilfsstoffe profitieren werde, wodurch die Importkosten um 8 Prozent bei den Zöllen und um 13 Prozent bei der Mehrwertsteuer auf grüne Kaffeebohnen gesenkt würden.

Herr Xue erklärte, dass aus Übersee importierte Kaffeebohnen zollfrei auf das chinesische Festland eingeführt werden können, wenn sie in Hainan mit einer Wertschöpfung von mindestens 30 Prozent verarbeitet werden.

China und die globalen Märkte verbinden

Die 30–Prozent–Schwelle ist eine weitere wichtige Maßnahme, die in den letzten Jahren durch den FTP eingeführt wurde. Sie ermöglicht es Unternehmen, Rohstoffe weltweit zu beziehen, vor Ort einen Mehrwert zu schaffen und fertige Produkte zollfrei auf dem Festlandmarkt zu verkaufen.

Hainan Weili Medical Technology, ein bedeutender globaler Katheterlieferant, profitiert seit Anfang 2023 von Zollsenkungen, nachdem das Unternehmen als erstes in Hainan ein Pilotprojekt für die Verarbeitung medizinischer Geräte und wertschöpfende Tätigkeiten gestartet hat. Zuvor bezog das Unternehmen den Großteil seiner Rohstoffe aus Südostasien.

He Yongshen, der Leiter des Unternehmens, erklärte, dass sie seit 2023 durch den Verkauf von Mehrwertprodukten auf dem Festlandmarkt über 4 Millionen Yuan (etwa 567.920 US–Dollar) an Zöllen eingespart haben. Mit diesen Kosteneinsparungen könne das Unternehmen mehr in Forschung und Entwicklung sowie in die Marktexpansion investieren, fügte er hinzu.

Sein Unternehmen ist nicht das einzige, das von den Veränderungen profitiert, da bevorzugte politische Maßnahmen eine wachsende Zahl von Investoren nach Hainan gelockt haben. In den letzten fünf Jahren beliefen sich die ausländischen Direktinvestitionen in Hainan auf 9,78 Milliarden US–Dollar, was einem jährlichen Wachstum von 97 Prozent entspricht, mit Investitionen aus 176 Ländern und Regionen.

Feng Fei, Sekretär des Provinzkomitees der Kommunistischen Partei Chinas in Hainan, hob die einzigartige Position der Inselprovinz hervor, die den riesigen Binnenmarkt mit 1,4 Milliarden Menschen mit dem südostasiatischen Markt mit fast 700 Millionen Menschen verbindet.

In Übereinstimmung mit Feng äußerte sich Huang Hanquan, Leiter der Chinesischen Akademie für Makroökonomische Forschung unter der Nationalen Entwicklungs– und Reformkommission, dass die Politik der Freihandelszone Hainan dazu beitrage, eine Handelsroute zu schaffen, die von Rohstoffen aus Südostasien über die Verarbeitung in Hainan bis zum Vertrieb auf dem Festland führe und die Insel als Drehscheibe zwischen dem heimischen und dem internationalen Markt positioniere.

Die Einführung von besonderen Zollmaßnahmen auf der gesamten Insel zeige Chinas Engagement für eine Öffnung auf hohem Niveau, die sowohl die Binnenwirtschaft als auch das globale Wachstum ankurbele, fügte Huang hinzu.

Ao ser informado sobre um relatório de trabalho sobre o FTP no início de novembro, o presidente chinês Xi Jinping elogiou as operações alfandegárias especiais como um movimento histórico para expandir a abertura de alto padrão e promover uma economia mundial aberta. Ele pediu a maior facilitação dos fluxos transfronteiriços de fatores de produção e criação de um ambiente de negócios de primeira linha.

A ideia de estabelecer o FTP foi proposta pela primeira vez em 2018. Desde então, várias políticas preferenciais – inclusive de compras isentas de impostos e baixo imposto de renda corporativo – foram introduzidas para tornar o FTP mais propício para que os negócios tomem forma gradualmente.

A partir de quinta–feira, a participação de produtos com tarifa zero no FTP de Hainan irá aumentar de 21% para 74%, com o número de itens livres de tarifas expandindo de cerca de 1.900 para 6.637, cobrindo quase todos os equipamentos de produção e matérias–primas.

Lan Zhenzhen, presidente de relações públicas da L'Oréal do norte da Ásia e da China, está otimista com o crescimento da empresa após o lançamento de quinta–feira.

Ponte entre a China e os mercados globais

O limite de 30% é outra política fundamental introduzida pelo FTP nos últimos anos, permitindo que as empresas adquiram matérias–primas de todo o mundo, agreguem valor localmente e vendam produtos acabados no mercado continental com isenção de impostos.

A Hainan Weili Medical Technology, um importante fornecedor global de catéteres, vem observando reduções tarifárias desde que se tornou o primeiro piloto de Hainan para processamento de dispositivos médicos e operações de valor agregado no início de 2023, anteriormente fornecendo a maioria das matérias–primas do Sudeste Asiático.

He Yongshen, chefe da empresa, disse que eles economizaram mais de 4 milhões de yuans (cerca de US$ 567.920) em tarifas desde 2023 com a venda de produtos de valor agregado para o mercado continental. PÉKIN, 19 déc. 2025 (GLOBE NEWSWIRE) — La Chine a lancé jeudi dans le sud du pays des opérations douanières spéciales à l’échelle de l’île dans la zone franche portuaire de Hainan, la plus grande au monde en superficie, permettant ainsi une entrée plus libre des marchandises étrangères, un élargissement du régime de franchise de droits de douane et la mise en œuvre de mesures plus favorables aux entreprises.

Lors de la présentation d’un rapport d’activité sur la zone franche portuaire de Hainan début novembre, le président chinois Xi Jinping a salué ces opérations douanières spéciales comme une mesure historique qui s’inscrit dans la poursuite de l’ouverture de haut niveau et la promotion d’une économie mondiale ouverte. Il a plaidé pour de nouveaux efforts visant à faciliter davantage encore les flux transfrontaliers de facteurs de production et à créer un environnement commercial de premier ordre.

C’est en 2018 que l’idée de la mise en place d’une zone franche portuaire a été proposée pour la première fois. Depuis lors, de nombreuses mesures préférentielles – dont notamment l’exemption de droits de douane et un faible taux d’imposition sur les sociétés – ont été instaurées afin de concrétiser progressivement cette zone franche portuaire favorable aux entreprises.

À compter de jeudi, la part des produits en franchise de droits de douane au sein de la zone franche portuaire de Hainan passera de 21 % à 74 % tandis que le nombre d’articles exemptés de droits de douane passera quant à lui d’environ 1 900 à 6 637, couvrant ainsi la quasi–totalité des équipements de production et des matières premières.

Lan Zhenzhen, présidente des affaires publiques de L’Oréal pour l’Asie du Nord et la Chine, se montre optimiste quant à la croissance de l’entreprise suite à ce lancement effectué jeudi.

« En tant que plus grande zone franche pilote de Chine, la zone franche portuaire de Hainan abrite le plus grand magasin hors taxes au monde et constitue une destination commerciale mondiale majeure », a–t–elle déclaré. « À l’avenir, L’Oréal poursuivra ses investissements à Hainan afin de mieux servir les consommateurs du monde entier. »

Le conglomérat thaïlandais Charoen Pokphand (CP) Group est également déterminé à tirer parti de ces opportunités de développement.

Xue Zengyi, cadre du groupe CP en Chine, a déclaré que l’activité café du groupe bénéficiera de la politique de franchise de droits de douane de la zone franche portuaire sur les matières premières et auxiliaires, ce qui permettra de réduire les coûts d’importation de 8 % en termes de droits de douane et de 13 % en termes de TVA sur les grains de café vert.

Il a également indiqué que les grains de café importés peuvent entrer en Chine continentale en franchise de droits s’ils sont transformés à Hainan avec une valeur ajoutée d’au moins 30 %.

Créer une passerelle entre la Chine et les marchés mondiaux

Ce seuil de 30 % est l’une des autres mesures clé qui ont été mises en place ces dernières années par la zone franche portuaire de Hainan. Cette mesure permet en effet aux entreprises de s’approvisionner en matières premières à l’échelle mondiale, d’y ajouter de la valeur localement, puis de vendre leurs produits finis sur le marché chinois en franchise de droits.

L’entreprise Hainan Weili Medical Technology, un important fournisseur mondial de cathéters, a ainsi bénéficié de droits de douane réduits depuis qu’elle est devenue, début 2023, la première entreprise pilote de Hainan pour la transformation de dispositifs médicaux et les opérations à valeur ajoutée, alors qu’auparavant elle s’approvisionnait principalement en matières premières en Asie du Sud–Est.

Son directeur, He Yongshen, a déclaré que l’entreprise avait économisé plus de 4 millions de yuans (soit environ 567 920 dollars) de droits de douane depuis 2023 grâce à la vente de produits à valeur ajoutée sur le marché continental chinois.
