USAID Offers Protection to Journalists & NGOs Facing Defamation Lawsuits

UNITED NATIONS, May 12 2023 – The world’s news media — both under authoritarian regimes and democratic governments– continue to come under relentless attacks and political harassment.

“Freedom of the press is the foundation of democracy and justice. It gives all of us the facts we need to shape opinions and speak truth to power. But in every corner of the world, freedom of the press is under attack,” UN Secretary-General Antonio Guterres said on World Press Freedom Day May 3.

Journalists and media workers, he said, are directly targeted on and offline as they carry out their vital work. They are routinely harassed, intimidated, detained and imprisoned.

At least 67 media workers were killed in 2022 — a 50 per cent increase over the previous year. Nearly three quarters of women journalists have experienced violence online, and one in four have been threatened physically, according to the UN.

But there is also an increase in non-physical attacks, including defamation lawsuits against media organizations challenging their legitimate right to free expression.

The Washington-based US Agency for International Development (USAID) last week launched Reporters Shield, a new membership program that protects journalists around the world– who report in the public interest– from defamation lawsuits and legal threats.

Established as a U.S.-based nonprofit organization by the Organized Crime and Corruption Reporting Project (OCCRP) and the Cyrus R. Vance Center for International Justice, Reporters Shield has been described as “a first-of-its-kind global program that defends investigative reporting around the world from legal threats meant to silence critical voices”.

USAID, which has a long history of fostering the growth of independent media across the world, plans to work with Congress to contribute up to $9 million in seed funding for this groundbreaking new program to support media outside the United States, according to a May 2 press release.

In a statement released last week, USAID said investigative journalists and civil society organizations reporting in the public interest are increasingly facing lawsuits that aim to harass and silence them by burdening them with the cost and time of a legal defense until they abandon their stories or go out of business entirely.

Reporters Shield will help to reduce these risks through training and pre-publication review, as well as funding legal representation to fight lawsuits and other legal actions meant to intimidate and financially burden reporters.

In order to keep the program sustainable, member organizations participating in Reporters Shield will pay reasonable annual fees that are based on a variation of factors, including location of the outlet and how many stories they produce a year.

“To be considered for membership in Reporters Shield, an organization must be legally registered and focus primarily in news, public interest, and/or investigative reporting; publish reporting in print and/or online; have non-profit status or transparent ownership; be independent from political, commercial, or other undue influence or interference; and have editorial independence and adhere to professional editorial standards”.

Reporters Shield is accepting applications worldwide and will be reviewing them in a phased approach, with some regions receiving benefits in the coming months, and others added later this year and in 2024.

Mandeep S. Tiwana, Chief Programmes Officer at CIVICUS, a global alliance of civil society organizations (CSOs), told IPS “these are hard times for media freedoms due to disinformation and attacks on civic space spurred by deepening authoritarianism, denigration of democracy through populism and consolidation of wealth by oligarchs”.

Uncovering serious human rights violations and high-level corruption, he pointed out, is becoming increasingly dangerous and costly for investigative journalists and civil society activists.

When few companies are ready to sign the Anti- Strategic Lawsuits Against Public Participation (SLAPP) pledge and crafty politicians are busy undermining the independence of judiciaries, this initiative comes at a critical time,” he declared.

According to the Anti-SLAPP pledge by Global Citizen, an international education and advocacy organization, strategic lawsuits against public participation, or SLAPPs, are not a legitimate business strategy for companies.

“The private sector thrives in functioning democratic societies, where the right to freedom of expression is a respected bedrock principle and where everyone can express their views without fear of intimidation or reprisal”.

“Lawsuits and legal tactics meant to silence civil organizations and human rights defenders aren’t just bad for societies, they’re also damaging to companies. When companies stifle free expression, they limit their ability to manage risk related to their operations and global supply chains.”

As companies that are committed to operating in societies where people are able to exercise fundamental rights, said Global Citizen, “we pledge to: define Strategic lawsuits against public participation, or SLAPPs, as both lawsuits and legal tactics that are designed to silence critics and abridge citizens’ ability to exercise fundamental rights.”

— Recognize the critical role that civil society organizations and human rights defenders play in creating a profitable enabling environment for the private sector.

Invitation to Attend the Annual Shareholders' Meeting of the Company
to be Held on June 14, 2023

The board of directors of the Company is pleased to invite its securities holders to attend the annual shareholders' meeting of the Company, to be held on Wednesday, June 14, 2023 at 2:00 p.m. CET at the Company's seat, or at such other place as will be indicated prior to such time.

The Company will also set up a video conference to allow holders of securities of the Company who have duly registered for the annual shareholders' meeting to follow the meeting remotely and ask questions, as the case may be in writing, during the meeting. The modalities to attend the meeting via video conference will be communicated to the relevant securities holders in due time. The video conference will not qualify as an electronic communication tool to attend and vote at the shareholders' meeting as referred to in Article 7:137 of the Belgian Code of Companies and Associations, but will be an extra facility for securities holders to follow the shareholders' meeting. Holders of securities wishing to attend the meeting via video conference and also validly vote on the items on the agenda, are invited to exercise their voting rights prior to the shareholders' meeting by following the rules set out in this convening notice, either by voting remotely by mail, or by giving a proxy to a representative of the Company.

In order to facilitate the keeping of the attendance list on the day of the annual shareholders' meeting, the holders of securities issued by the Company and their representatives are invited to register as from 1:30 p.m. CET.

AGENDA OF THE ANNUAL SHAREHOLDERS' MEETING

  1. Acknowledgement and discussion of:
  1. the statutory annual accounts for the financial year ended on December 31, 2022;
  2. the consolidated financial statements for the financial year ended on December 31, 2022;
  3. the annual report of the board of directors on the statutory annual accounts for the financial year ended on December 31, 2022;
  4. the annual report of the board of directors on the consolidated financial statements for the financial year ended on December 31, 2022;
  5. the statutory auditor's report on the statutory annual accounts for the financial year ended on December 31, 2022; and
  6. the statutory auditor's report on the consolidated financial statements for the financial year ended on December 31, 2022.

1. Approval of the statutory annual accounts for the financial year ended on December 31, 2022 and the proposed allocation of the result

Proposed decision: The shareholders' meeting decides to approve the annual accounts for the financial year ended on December 31, 2022 and the allocation of the result as proposed by the board of directors.

2. Discharge of directors

Proposed decision: The shareholders' meeting decides to grant discharge to each of the directors who was in office during the financial year ended on December 31, 2022 (including Mr. Donald Deyo, Mr. Jan Janssen and Mr. Raymond Cohen who resigned as directors in 2022) for the performance of their mandate during that financial year.

3. Discharge of the statutory auditor

Proposed decision: The shareholders' meeting decides to grant discharge to the statutory auditor who was in office during the financial year ended on December 31, 2022 for the performance of his mandate during that financial year.

4. Acknowledgement and approval of the remuneration report

Proposed decision: The shareholders' meeting decides to approve the remuneration report.

5. Acknowledgement and approval of the amended remuneration policy

Upon the recommendation of the remuneration committee, the board of directors proposes to amend the remuneration policy of the Company to include in the remuneration policy the justification for deviating from provision 7.12 of the 2020 Belgian Code on Corporate Governance (the "2020 Code") which requires the board to include, in the contracts with the CEO and other members of executive management, provisions that would enable the Company to recover variable remuneration paid, or withhold the payment of variable remuneration, and specify the circumstances in which it would be appropriate to do so, insofar as enforceable by law.

The board of directors believes that this provision of the 2020 Code is not appropriate and adapted to take into account the realities of companies in the life sciences industry that are still in a development phase nor considers that it is necessary to apply claw–back provisions as (i) the pay–out of the short–term variable remuneration, based on the achievement of one or more individual objectives and one or more Company objectives as set by the board of directors, is paid only upon achievement of those objectives, and (ii) the Company does not apply any other performance–based remuneration or variable compensation.

Furthermore, the ESOP warrant plans set up by the Company contain bad leaver provisions that can result in the unexercised share options, whether vested or not, automatically and immediately becoming null and void if the agreement or other relationship between the holder and the (relevant subsidiary of the) Company is terminated for "cause". Notwithstanding the Company's position that warrants are not to be qualified as variable remuneration (when not depending on performance criteria), the board of directors is of the opinion that such bad leaver provisions sufficiently protect the Company's interests and that it is therefore currently not necessary to provide for additional contractual provisions that give the Company a contractual right to reclaim any (variable) remuneration from the members of the executive management.

For those reasons, there are no contractual provisions in place between the Company and the members of the executive management that give the Company a contractual right to reclaim from said executives any variable remuneration that would be awarded.

Proposed decision: The shareholders' meeting decides to approve the amended remuneration policy.

6. Appointment of director

On January 8, 2023, the board of directors decided to appoint Wildman Ventures LLC (permanently represented by Mr. Daniel Wildman) on a provisional basis ("cooptation") as a director in order to replace Mr. Raymond Cohen in accordance with Article 7:88 of the CCA and article 13 of the Company's articles of association. Based on the information made available by Mr. Daniel Wildman, it was determined that both Wildman Ventures LLC and Mr. Daniel Wildman satisfy the applicable requirements for Wildman Ventures LLC (permanently represented by Mr. Daniel Wildman) to be appointed as an independent director in accordance with Article 7:87 of the CCA and provision 3.5 of the 2020 Belgian Corporate Governance Code. Mr. Daniel Wildman also explicitly declared that neither he nor Wildman Ventures LLC has any connections with the Company or an important shareholder, which would interfere with their independence. The board of directors recommends that the appointment of Wildman Ventures LLC (permanently represented by Mr. Daniel Wildman) as independent director be confirmed and that Wildman Ventures LLC (permanently represented by Mr. Daniel Wildman) completes Mr. Raymond Cohen's term of office ending at the annual shareholders' meeting to be held in 2024.

Proposed decision: The shareholders' meeting decides to confirm the appointment of Wildman Ventures LLC, with address at 12520 Sunnydale Drive, Wellington, FL 33414, USA, and permanently represented by Mr. Daniel Wildman, as an independent director of the Company within the meaning of Article 7:87 of the CCA and provision 3.5 of the 2020 Belgian Corporate Governance Code, completing Mr. Raymond Cohen's term of office ending at the annual shareholders' meeting to be held in 2024. The mandate of Wildman Ventures LLC (permanently represented by Mr. Daniel Wildman) is remunerated as provided for the non–executive (independent) members of the board of directors in the Company's remuneration policy as adopted by the shareholders' meeting and as decided by the annual shareholders' meeting of June 8, 2022.

ADMISSION FORMALITIES AND PARTICIPATION IN THE SHAREHOLDERS' MEETING

In order to attend the shareholders' meeting on June 14, 2023, the holders of shares and subscription rights are requested to comply with articles 26 and 27 of the Company's articles of association and the following formalities.

The holders of subscription rights issued by the Company can, in accordance with Article 7:135 of the Belgian Code of Companies and Associations, only attend the shareholders' meeting with a consultative vote.

In order to be able to participate in the annual shareholders' meeting, a holder of securities issued by the Company must satisfy two conditions: (a) be registered as holder of such securities on the registration date and (b) notify the Company, as described below.

Registration date

The registration date is May 31, 2023 at midnight (Belgian time). Only persons registered as securities holders on that date and time will be entitled to attend and (if they are shareholders) vote at the meeting. The number of securities held by the securities holder on the day of the meeting will not be taken into account.

  • Holders of registered shares or subscription rights must be registered in the Company's share register or subscription rights register, as the case may be, by midnight (Belgian time) on May 31, 2023.
  • Holders of dematerialised shares must deliver, or have delivered, to the Company, at the latest on June 8, 2023 at midnight (Belgian time), a certificate issued by the authorised account holder or by the settlement institution certifying the number of dematerialised shares registered in the name of the shareholder in its accounts on the registration date, for which the shareholder has declared his intention to participate in the meeting. This certificate must be sent to the Company by e–mail to shareholders@nyxoah.com.

Intention to participate in the meeting

The securities holders must inform the board of directors of the Company by e–mail to shareholders@nyxoah.com, no later than June 8, 2023, of their intention to participate in the meeting, indicate the number of securities for which they intend to vote, and, for holders of dematerialized shares, present proof of their registration as a shareholder on the registration date.

In order to attend the meeting, securities holders and proxy holders must prove their identity and representatives of legal entities must submit documents establishing their identity and their power of representation, at the latest immediately before the start of the meeting.

Voting by proxy or by mail

Shareholders can exercise their voting rights prior to the meeting either (i) by voting by mail or (ii) by giving a proxy to a representative of the Company.

If shareholders vote by proxy, the proxy holder will be a representative of the Company. This proxy holder may only exercise the voting right in accordance with the voting instructions contained in the proxy.

The proxy voting form and the form for voting by mail approved by the Company must be used for this purpose. These forms can be downloaded from the Company's website (https://investors.nyxoah.com/shareholder–information > Shareholders' Meetings).

If shareholders vote by proxy or by mail, they must, in addition to the above formalities, send by e–mail to shareholders@nyxoah.com a duly completed and signed proxy voting form or form for voting by mail. These documents must reach the Company no later than June 8, 2023.

Note that the proxy voting forms and the forms for voting by mail may be signed by using an electronic signature as provided for in Article 7:143 2 of the Belgian Code of Companies and Associations.

Participation in the virtual shareholders' meeting

Securities holders wishing to participate remotely, virtually and in real time, to the Company's annual shareholders' meeting are required to confirm their participation and communicate their e–mail address to the Company by June 8, 2023 at the latest by e–mail to shareholders@nyxoah.com.

A few days before the shareholders' meeting, securities holders who have completed this formality will receive by e–mail (at the address they will have communicated to the Company) a link, and as the case may be a user name and a password, enabling them to follow and participate in the shareholders' meeting via their computer, tablet or smartphone.

Just before the start of the shareholders' meeting, the securities holders will have to click on the link that will have been previously communicated to them by e–mail, and as the case may be enter their user name and password, in order to join the virtual shareholders' meeting.

Securities holders attending the virtual shareholders' meeting will have the opportunity to view the live broadcast of the meeting in real time and to ask questions to the directors, as the case may be in writing, during the meeting regarding the items on the agenda.

New agenda items, proposed decisions and right to ask questions

Shareholders holding at least 3% of the capital who wish to request the inclusion of new items on the agenda or to submit proposals for decision must, in addition to the above formalities, establish on the date of their request proof of ownership of the required participation in the capital and send the text of the agenda items and the proposed decisions by e–mail to shareholders@nyxoah.com, no later than May 23, 2023. The request must also mention the e–mail address to which the Company will send the confirmation of receipt of the request.

The case being, the revised agenda will be published no later than May 30, 2023.

Shareholders who wish to do so may send any questions they may have to the Company, relating solely to the agenda of the annual shareholders' meeting, by e–mail to shareholders@nyxoah.com, no later than June 8, 2023. The answers to these questions will be provided during the annual shareholders' meeting in accordance with applicable law.

Documentation

All documents concerning the annual shareholders' meeting that are required by law to be made available, as well as the total number of shares and voting rights outstanding, are available on the Company's website on: https://investors.nyxoah.com/shareholder–information. The documents are also available at the seat of the Company and can only be consulted by appointment made by e–mail (shareholders@nyxoah.com). Shareholders may also obtain a hard copy of these documents free of charge by sending an e–mail to shareholders@nyxoah.com.

The aforementioned formalities, as well as the instructions on the Company's website and on the proxy voting forms and forms for voting by mail must be strictly observed.

Quorum: There is no particular quorum requirement for the deliberation and voting of the decisions proposed in the agenda of the annual shareholders' meeting.

Voting: Each share entitles the holder to one vote.

Majority: In accordance with applicable law, the decisions proposed in the agenda of the annual shareholders' meeting will be adopted if they are approved by a simple majority of the votes validly cast by the shareholders present or represented at the shareholders' meeting.

Personal data: The Company is responsible for the processing of personal data that it receives or collects from holders of securities issued by the Company and agents in connection with the Company's shareholders' meeting.

The processing of such data will be carried out for the purpose of organizing and holding the shareholders' meeting, including convening, registration, attendance and voting, as well as maintaining lists or registers of securities holders and for purposes of analysis of the Company's securities holders' base.

The data includes, but is not limited to, the following: identification data, the number and nature of a holder's securities issued by the Company, proxies and voting instructions. This information may also be transferred to third parties for the purpose of assisting or servicing the Company in connection with the foregoing.

6. Prise de connaissance et approbation de la politique de rmunration modifie

Sur recommandation du comit de rmunration, le conseil d'administration propose de modifier la politique de rmunration de la Socit afin d'y inclure la justification de la drogation la disposition 7.12 du Code belge de gouvernance d'entreprise 2020 (le “Code 2020“), qui exige que le conseil d'administration inclut, dans les contrats conclus avec le CEO et les autres managers excutifs, des clauses permettant la socit de recouvrer des moluments variables pays, ou de surseoir au paiement d'moluments variables, et prcise les circonstances dans lesquelles il conviendrait d'agir ainsi, dans la mesure permise par la loi.

Le conseil d'administration estime que cette disposition du Code 2020 n'est pas approprie et adapte pour prendre en compte les ralits des socits du secteur des sciences de la vie qui sont encore en phase de dveloppement. Il ne considre pas non plus qu'il soit ncessaire d'appliquer des dispositions de rcupration car (i) le paiement de la rmunration variable court terme, base sur la ralisation d'un ou plusieurs objectifs individuels et d'un ou plusieurs objectifs de la Socit fixs par le conseil d'administration, n'est effectu qu' la ralisation de ces objectifs, et (ii) la Socit n'applique aucune autre rmunration base sur la performance ou une rmunration variable.

En outre, les plans des droits de souscription ESOP mis en place par la Socit contiennent des dispositions relatives au “bad leaver” qui peuvent avoir pour consquence que les options sur actions non exerces, qu'elles soient acquises ou non, deviennent automatiquement et immdiatement nulles et non avenues si l'accord ou toute autre relation entre le dtenteur et la (filiale concerne de la) Socit est rsili(e) pour “cause”. Nonobstant la position de la Socit selon laquelle les droits de souscription ne doivent pas tre considrs comme une rmunration variable (lorsqu'ils ne dpendent pas de critres de performance), le conseil d'administration est d'avis que ces dispositions relatives au “bad leaver” protgent suffisamment les intrts de la Socit et qu'il n'est donc actuellement pas ncessaire de prvoir des dispositions contractuelles supplmentaires donnant la Socit le droit contractuel de rclamer toute rmunration (variable) aux managers excutifs.

Pour ces raisons, il n'existe aucune disposition contractuelle entre la Socit et les managers excutifs qui donne la Socit un droit contractuel de rclamer auxdits dirigeants toute rmunration variable qui leur serait attribue.

Proposition de dcision : L'assemble gnrale des actionnaires dcide d'approuver la politique de rmunration modifie.

7. Nomination d'administrateur

Le 8 janvier 2023, le conseil d'administration a dcid de nommer Wildman Ventures LLC (reprsente par son reprsentant permanent M. Daniel Wildman) titre provisoire (“cooptation“) en tant qu'administrateur afin de remplacer M. Raymond Cohen, conformment l'article 7:88 du CSA et l'article 13 des statuts de la Socit. Sur base des informations mises disposition par M. Daniel Wildman, il a t dtermin que tant Wildman Ventures LLC que M. Daniel Wildman satisfont aux exigences applicables pour que Wildman Ventures LLC (reprsente par son reprsentant permanent M. Daniel Wildman) soit nomme en tant qu'administrateur indpendant conformment l'article 7:87 du CSA et au principe 3.5 du Code de Gouvernance d'Entreprise 2020. M. Daniel Wildman a galement explicitement dclar que ni lui ni Wildman Ventures LLC n'a de liens avec la Socit ou avec un actionnaire important, qui pourraient interfrer avec leur indpendance. Le conseil d'administration recommande que la nomination de Wildman Ventures LLC (reprsente par son reprsentant permanent M. Daniel Wildman) en tant qu'administrateur indpendant soit confirme et qu'elle achve le mandat de M. Raymond Cohen, qui prendra fin lors de l'assemble gnrale annuelle des actionnaires qui se tiendra en 2024.

Proposition de dcision : L'assemble gnrale des actionnaires dcide de confirmer la nomination de Wildman Ventures LLC, avec adresse 12520 Sunnydale Drive, Wellington, FL 33414, Etats–Unis, et reprsente par son reprsentant permanent M. Daniel Wildman, en tant qu'administrateur indpendant de la Socit au sens de l'article 7:87 du CSA et du principe 3.5 du Code de Gouvernance d'Entreprise 2020, achevant le mandat de M. Raymond Cohen, qui se termine lors de l'assemble gnrale annuelle des actionnaires qui se tiendra en 2024. Le mandat de Wildman Ventures LLC (reprsente par son reprsentant permanent M. Daniel Wildman) est rmunr de la manire prvue pour les membres non excutifs (indpendants) du conseil d'administration dans la politique de rmunration de la Socit telle qu'adopte par l'assemble gnrale des actionnaires, et tel que dcid par l'assemble gnrale annuelle des actionnaires tenue le 8 juin 2022.

FORMALITS D'ADMISSION ET PARTICIPATION L'ASSEMBLE GNRALE

Pour assister l'assemble gnrale des actionnaires du 14 juin 2023, les dtenteurs d'actions et de droits de souscription sont pris de se conformer aux articles 26 et 27 des statuts de la Socit et aux formalits suivantes.

Les dtenteurs de droits de souscription mis par la Socit peuvent, conformment l'article 7:135 du Code des socits et des associations, uniquement assister l'assemble gnrale des actionnaires avec un vote consultatif.

Afin de pouvoir participer l'assemble gnrale annuelle, un dtenteur de titres mis par la Socit doit remplir deux conditions : (a) tre enregistr en tant que dtenteur de ces titres la date d'enregistrement et (b) en informer la Socit, comme dcrit ci–dessous.

Date d'enregistrement

La date d'enregistrement est le 31 mai 2023 minuit (heure belge). Seules les personnes inscrites comme dtenteur de titres cette date et cette heure seront autorises assister et (s'ils sont actionnaires) voter l'assemble. Il ne sera pas tenu compte du nombre de titres dtenus par le dtenteur au jour de l'assemble.

  • Les dtenteurs d'actions nominatives et des droits de souscription doivent tre inscrits dans le registre des actions nominatives ou le registre des droits de souscription, le cas chant, de la Socit le 31 mai 2023 minuit (heure belge).
  • Les dtenteurs d'actions dmatrialises doivent dlivrer, ou faire le ncessaire pour que soit dlivre, la Socit, au plus tard le 8 juin 2023 minuit (heure belge), une attestation mise par le teneur de compte agr ou par l'organisme de liquidation certifiant le nombre d'actions dmatrialises inscrites au nom de l'actionnaire dans ses comptes la date d'enregistrement, pour lequel l'actionnaire a dclar avoir l'intention de participer l'assemble. Ce certificat doit tre envoy la Socit par courrier lectronique l'adresse e–mail shareholders@nyxoah.com.

Intention de participer l'assemble

Les dtenteurs de titres doivent informer le conseil d'administration de la Socit, par courrier lectronique shareholders@nyxoah.com, au plus tard le 8 juin 2023, de leur intention de participer l'assemble, indiquer le nombre de titres pour lequel ils entendent prendre part au vote, et, pour les titulaires d'actions dmatrialises, prsenter la preuve de leur inscription en tant qu'actionnaire la date d'enregistrement.

Afin d'assister l'assemble, les dtenteurs de titres et les porteurs de procuration doivent prouver leur identit et les reprsentants des personnes morales doivent remettre des documents tablissant leur identit et leur pouvoir de reprsentation, au plus tard immdiatement avant le dbut de l'assemble.

Vote par procuration ou par correspondance

Les actionnaires peuvent exercer leur droit de vote avant l"assemble soit (i) en votant distance par correspondance, soit (ii) en donnant procuration un reprsentant de la Socit.

En cas de recours un vote par procuration, le mandataire sera un reprsentant de la Socit. Ce mandataire pourra uniquement exercer le droit de vote conformment aux instructions de vote reprises dans la procuration.

Les formulaires de vote par procuration et de vote par correspondance approuvs par la Socit doivent tre utiliss pour ce faire. Ces formulaires peuvent tre tlchargs sur le site internet de la Socit (https://investors.nyxoah.com/shareholder–information > Shareholders' Meetings).

En cas de recours un vote par procuration ou un vote par correspondance, les actionnaires doivent, en plus des formalits prcites, transmettre par courrier lectronique l'adresse e–mail shareholders@nyxoah.com les formulaires de vote par procuration ou de vote par correspondance dment complts et signs. Ces documents doivent parvenir la Socit au plus tard le 8 juin 2023.

Notez, par ailleurs, que les formulaires de vote par procuration et de vote par correspondance peuvent galement tre signs par un procd de signature lectronique comme cela est prvu l'article 7:143 2 du Code des socits et des associations.

Participation l'assemble gnrale des actionnaires de manire virtuelle

Les dtenteurs de titres souhaitant participer distance, de manire virtuelle et en temps rel, l'assemble gnrale annuelle des actionnaires de la Socit sont tenus de confirmer leur participation et de communiquer leur adresse e–mail la Socit au plus tard le 8 juin 2023 par courrier lectronique adress l'adresse e–mail shareholders@nyxoah.com.

Quelques jours avant l'assemble gnrale des actionnaires, les dtenteurs de titres ayant accompli cette formalit, recevront par e–mail ( l'adresse qu'ils auront communique la Socit) un lien, et selon le cas, un nom d'utilisateur et un mot de passe, leur permettant de suivre et de participer l'assemble gnrale des actionnaires via leur ordinateur, tablette ou smartphone.

Juste avant le dbut de l'assemble gnrale, les dtenteurs de titres devront cliquer sur le lien qui leur aura t pralablement communiqu par e–mail, et selon le cas, de saisir leur nom d'utilisateur et leur mot de passe afin de rejoindre l"assemble gnrale virtuelle.

Les dtenteurs de titres participant l'assemble gnrale virtuelle auront la possibilit d'assister la diffusion en direct de l'assemble et de poser des questions, le cas chant par crit, aux administrateurs au cours de l"assemble concernant les points l'ordre du jour.

Nouveaux points l'ordre du jour, propositions de dcisions et droit de poser des questions

Les actionnaires dtenant au moins 3% du capital qui souhaitent demander l'inscription de nouveaux points l'ordre du jour ou dposer des propositions de dcisions doivent, outre les formalits susvises, tablir la date de leur requte la preuve de la possession de la fraction de capital exige et faire parvenir le texte des points l'ordre du jour et des propositions de dcisions y affrentes l'adresse e–mail shareholders@nyxoah.com, au plus tard le 23 mai 2023. La demande doit galement mentionner l'adresse postale ou lectronique laquelle la Socit enverra la confirmation de la rception de la demande.

Le cas chant, l'ordre du jour modifi sera publi au plus tard le 30 mai 2023.

Les actionnaires qui le souhaitent peuvent adresser la Socit leurs ventuelles questions portant uniquement sur l'ordre du jour de l'assemble gnrale annuelle des actionnaires, par courrier lectronique adress l'adresse e–mail shareholders@nyxoah.com au plus tard le 8 juin 2023. Les rponses ces questions seront fournies pendant l'assemble gnrale annuelle des actionnaires conformment la lgislation applicable.

Tous les documents concernant l'assemble gnrale annuelle des actionnaires que la loi impose de mettre disposition, ainsi que le nombre total d'actions et de droits de votes en circulation, sont disponibles sur le site web de la Socit sur : https://investors.nyxoah.com/shareholder–information. Les documents sont galement disponibles au sige de la Socit et peuvent tre consults uniquement sur rendez–vous pris par courrier lectronique (shareholders@nyxoah.com). Les actionnaires peuvent galement obtenir, gratuitement, une copie papier de cette documentation, en le demandant par courrier lectronique adress l'adresse e–mail shareholders@nyxoah.com.

Les formalits prcites ainsi que les instructions reprises sur le site web de la Socit et sur les formulaires de vote par procuration et de vote par correspondance doivent tre strictement respectes.

Divers

Quorum : Il n'y a pas d'exigence particulire de quorum pour la dlibration et le vote des rsolutions proposes dans l'ordre du jour de l'assemble gnrale annuelle.

Vote : Chaque action donne droit un vote.

Majorit : Conformment au droit applicable, les dcisions proposes dans l'ordre du jour de l'assemble gnrale annuelle seront adoptes si elles sont approuves par une majorit simple des voix valablement mises par les actionnaires prsents ou reprsents l'assemble gnrale.

Donnes personnelles : La Socit est responsable pour le traitement des donnes personnelles qu'elle reoit ou collecte des dtenteurs de titres mis par la Socit et des mandataires dans le cadre de l'assemble gnrale des actionnaires de la Socit.

Le traitement de ces donnes sera effectu en vue de l'organisation et la tenue de l'assemble gnrale des actionnaires, y compris les convocations, les inscriptions, les prsences et les votes, ainsi que la tenue de listes ou de registres des dtenteurs de titres et des fins d'analyse de la base des dtenteurs de titres de la Socit.

Les donnes comprennent, entre autres, les lments suivants : les donnes d'identification, le nombre et la nature des titres mis par la Socit dtenus par un dtenteur, les procurations et les instructions de vote. Ces informations peuvent galement tre transfres des tiers des fins d'assistance ou de services la Socit en rapport avec ce qui prcde.
